Penerapan Exceptio Non Adimpleti Contractus pada Kontrak Konstruksi

This study examines the applicability of the exceptio non adimpleti contractus principle to the calling of bank guarantees in construction contracts. It employs normative legal research using statutory and conceptual approaches. The legal materials include legislation, court decisions, legal doctrines, and relevant scholarly literature. The findings demonstrate that, normatively, the calling of a bank guarantee cannot be challenged solely on the basis of exceptio non adimpleti contractus because a bank guarantee is independent of the underlying construction contract and is generally unconditional. Consequently, the issuing bank is obliged to honor a claim once the formal requirements stipulated in the guarantee have been fulfilled, without first examining whether a breach has occurred in the underlying contract. Nevertheless, judicial intervention may be justified when the beneficiary acts in bad faith, improperly exercises its rights, or submits a claim while the alleged breach remains legally disputed. Therefore, although the principle cannot directly prevent the calling of a bank guarantee, it remains relevant as a legal protection mechanism for parties acting in good faith and as a means of upholding reciprocity, fairness, and legal certainty in construction contracts.
